Terms of Service

1. Acceptance of Terms

By accessing or using Poppyfield AI (the "Service"), a product of Instamorphic Inc., ("Poppyfield," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. We may update these Terms from time to time; continued use after any change constitutes your acceptance of the revised Terms.

2. Description of Service

Poppyfield AI is an AI-agent marketplace that connects individuals with specialist AI agents designed to assist with a broad range of personal and professional tasks — including but not limited to legal document review, financial planning, career coaching, health navigation, and event planning. Agents available on the Service are built and operated by Poppyfield or independent third-party creators (see Section 5, Third-Party Creator Agents). Agents are priced per run at the price displayed before each run. Some or all agents may be offered at no charge during beta or trial periods.

3. Eligibility

You must be at least 18 years old to use the Service. By using Poppyfield, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@poppyfield.ai if you suspect unauthorized access. We reserve the right to suspend or terminate accounts that violate these Terms.

5. Third-Party Creator Agents

All agents available on the Service that are built and operated by Poppyfield are clearly indicated. Poppyfield may in the future offer agents built by independent third-party creators ("Creators"). Any such agent will be clearly identified as Creator-built in its listing, and Creators must complete our verification process before any agent they offer is listed. If you are a Creator, you are solely responsible for your agent, including ensuring that it (a) functions as described in its listing, (b) does not violate any law or infringe any third party's rights, and (c) does not use content submitted by Users for any purpose beyond producing the output requested, except as permitted under Section 9 (Data Use and Privacy). Poppyfield may remove any agent, or suspend any Creator's account, that we reasonably believe violates these Terms or poses a risk to Users.

6. AI-Generated Output; Not Professional Advice

Outputs produced by agents on the Service are generated by artificial intelligence and are provided for informational purposes only. Outputs may be inaccurate, incomplete, or outdated. You are responsible for reviewing and verifying any output before relying on it, and you acknowledge that you use outputs at your own risk. Outputs do not constitute legal, financial, medical, tax, or other professional advice, and your use of the Service does not create any attorney-client, fiduciary, provider-patient, or other professional relationship between you and Poppyfield. Before acting on any output that has legal, financial, tax, or health consequences, consult a licensed professional. The Service is not intended for use in emergencies. If you are experiencing a medical or other emergency, contact emergency services immediately.

7. Payments and Refunds

Agent runs are billed per execution at the price displayed before each run, and you only pay for the runs you use. Some or all agents may be offered at no charge during beta periods, in which case no payment is collected for those runs. For Creator-built agents, Poppyfield collects payment and pays the Creator a portion of it under our agreement with that Creator. All payments are processed securely through our payment provider. Fees are non-refundable except where an agent fails to produce any output due to a technical fault attributable to Poppyfield. Disputes must be submitted within 14 days of the charge.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Submit false, misleading, or fraudulent inputs to agents.
• Attempt to reverse-engineer, scrape, or extract agent logic or training data.
• Harass, threaten, or harm any person.
• Generate, distribute, or store child sexual abuse material or any other illegal content.
• Circumvent access controls or security measures.

9. Data Use and Privacy

We do not sell your content or personal information. Neither Poppyfield nor any Creator will use content you submit to an agent, or the output an agent generates for you, in a way that identifies you as an individual — including to train or improve any AI model — without your separate, opt-in consent. We may use de-identified, aggregated data (such as usage patterns and performance metrics) to operate and improve the Service and the agents available on it. Our Privacy Policy describes this in more detail and explains your rights and choices.

10. Intellectual Property

Poppyfield and its licensors own all rights in the Service, including the platform software, design, marketplace infrastructure, and the agents that Poppyfield builds and operates. Creators own their Creator-built agents and the technology behind them. You retain ownership of the content you submit to agents. You grant Poppyfield, and the Creator of any Creator-built agent you use, a limited license to process your content solely to operate the Service and produce the output you requested. Agent outputs are provided to you for your personal or internal business use; redistribution for commercial purposes requires prior written consent from Poppyfield and, where applicable, the relevant Creator.

11. Indemnification

You agree to indemnify and hold Poppyfield harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms. If you are a Creator, this also includes claims arising from your Creator-built agent.

12. Limitation of Liability

To the maximum extent permitted by law, Poppyfield and its affiliates and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability to you for any claim shall not exceed the greater of one hundred dollars ($100) or the amount you paid us in the 90 days preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that agent outputs will be accurate or complete.

14. Dispute Resolution; Binding Arbitration

Please read this section carefully, as it affects your legal rights. Before starting a formal proceeding, you and Poppyfield agree to first try to resolve any dispute informally: send a written notice describing the dispute to Instamorphic Inc., 2310 Homestead Rd. Ste C1-114, Los Altos, CA 94024, with a copy emailed to legal@poppyfield.ai, and allow 30 days for a response. If the dispute is not resolved within 30 days, any claim that does not qualify for small claims court must be resolved through binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. You and Poppyfield each waive the right to a jury trial and to participate in a class or representative action or proceeding. Either party may still seek injunctive relief in a court of competent jurisdiction to prevent an actual or threatened breach of these Terms. Any claim arising out of or relating to these Terms or the Service must be brought within one (1) year after it accrues, or it is permanently barred.

15. Governing Law

These Terms, and any dispute not subject to arbitration or small claims court under Section 14, are governed by the laws of the State of California, without regard to its conflict-of-law provisions, and will be resolved in the state or federal courts located in San Mateo County, Santa Clara County, or San Francisco County, California.
